These terms will be governed by and construed in accordance with the laws of the State of New York, without regard to any principles of conflicts of law. You agree that any action or law in equity that arises out of or relates to these terms will first be commenced in a New York State court approved mutually agreed upon mediation forum. If the dispute cannot be amicably resolved through mediation, you agree that any continued action at law or in equity that arises out of or relates to these terms will be filed only in the state or federal courts located in the state of New York, and you hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such action. Additionally, any costs incurred by CP, its partners, officers, directors, associates, and employees resulting from any legal action brought against CP must be paid for by the initiating party.
Any cause of action or claim you may have with respect to the CP must be commenced within one (1) year after the claim or cause of action arises or such claim or cause of action is barred. If any of these terms and conditions are found unlawful, void, or for any reason unenforceable, then that provision will be considered severable from the remaining terms and conditions, and will not affect the validity and enforceability of the remaining provisions.
